Required Documents (to be prepared before coming to Shenzhen):

• 2 notarized sets of incorporation documents of investing foreign company
• 2 original copies of bank reference letter of corporate account
  Contents should include account balance and reflect account is of good standing and credibility
  The account balance should be higher than amount of registered capital
• 1 original copy of audit report (Recent 1 year) of investing foreign company
  (Not required for companies incorporated less than a year)
• 1 passport copy of the Director for the company (can be the shareholder)
  Only the page detailing the particulars of the holder; signature is required on the copy
• 1 passport copy of Supervisory representative (An individual, other than the shareholder)
  Only the page detailing the particulars of the holder; signature is required on the copy
• 5 copies of shareholders passport
  Only the page detailing the particulars of the holder; signature is required on the copy
• The original passport is required for the procedure of making of company chops, application for
  “Organization Code", and bank account opening. (Pre-notification will be given)
• 2 colored passport size photos of shareholders
• Description of business scope and list of products for Import/export (To be signed by shareholders)

Required Documents / Information

(to be prepared in Shenzhen):

• 3 Proposed company names in Chinese(e.g. Shenzhen XXXXX Trading Limited Company )
• 2 original sets of office lease of the office premise to be used by the Representative Office
  (The term of lease should not be less than 12 months.)
  The tenancy must be entered into in the name of the Company, and signed by the Director.
  The office premise must be in a commercial building and the nature of the premise must be for commercial use only.
  The tenancy agreement must be registered with Shenzhen Housing Management Bureau.
• Business plan: a summary of the proposed scope of the business, the types of products and scale of
  business; sources of funds; and method and time limit of contribution of capital…
• The Feasibility study report and all other application forms/documents will be prepared by UWS
  (Requires the signature of shareholder/directors)

Notes:

• All signatures for official documents must be signed by black-ink fountain pen / felt-tip pen.
• All documents for submission to the Chinese government/authorities have to be in Chinese.
  (Clients should get their notarized documents translated and endorsed by the Chinese Embassy in their residence country)

Application Procedure:

1. Reservation of the WFOE company name with Shenzhen Administrative Bureau for Industry and Commerce
2. Application for certificate of approval at Bureau of Trade and Industry
3. Registration for business license at Shenzhen Administrative Bureau of Industry and Commerce
Once the business license is issued, the WFOE is deemed to be a legal person duly organized and existing
under PRC law and will have full operational rights to operate a business in PRC within the scope of its Business License.
4. Application to Shenzhen Public Security Bureau for engraving Of Company Stamps/Seals
5. Application of Organization Code License at the Shenzhen Technology and Quality Supervision Bureau
6. Application of State Tax and Shenzhen Local Tax Registration Certificate at State Tax Bureau Shenzhen Branch and Shenzhen Municipal Tax Bureau
7. Application of Foreign Exchange Registration License from National Administration of Foreign Exchange
8. Opening Bank Accounts
9. Application of Financial Registration for Enterprises with Foreign Investment from Financial Department
10. Registration with Local Customs
11. Registration with PRC E-Port
